Welcome to NGOBazaar ("NGOBazaar", "Platform", "Marketplace", "Company", "we", "our", or "us"), an online multi-vendor marketplace operated by NGOFeed Digital Solution Private Limited.

These Terms of Service ("Terms") govern your access to and use of the NGOBazaar website, customer account, marketplace services, features, content, ordering facilities, payment facilities, customer-support services, and other services made available through NGOBazaar.

By accessing or using NGOBazaar, creating an account, placing an order, or otherwise using the Marketplace Services, you agree to be bound by these Terms and the policies incorporated into them by reference.

Please read these Terms carefully before using NGOBazaar.

If you do not agree with these Terms, you should not use the Marketplace Services.

2. About NGOBazaar

NGOBazaar is owned, developed, operated, and managed by NGOFeed Digital Solution Private Limited.

NGOBazaar is a technology-enabled multi-vendor marketplace designed to connect customers with eligible sellers, which may include:

• non-governmental organizations (NGOs);
• social enterprises;
• self-help groups (SHGs);
• women-led enterprises;
• artisans;
• handicraft producers;
• rural producers;
• farmer and producer organizations;
• cooperatives;
• MSMEs;
• businesses; and
• other approved sellers.

NGOBazaar provides digital infrastructure through which sellers may list products and customers may discover, order, and purchase those products.

Unless expressly stated otherwise for a particular product or transaction, products displayed on NGOBazaar may be listed and sold by independent third-party sellers.

NGOBazaar does not necessarily manufacture, own, stock, or directly sell every product available through the Marketplace.

3. Marketplace Role

NGOBazaar provides a technology platform that facilitates transactions between customers and sellers.

Depending upon the transaction and services offered, NGOBazaar may facilitate:

• product discovery;
• product listings;
• customer accounts;
• shopping cart functionality;
• order placement;
• payment processing or payment facilitation;
• communication between customers and sellers;
• order management;
• shipping and logistics coordination;
• shipment tracking;
• cancellations;
• returns;
• replacements;
• refunds;
• customer support; and
• other marketplace-related services.

The seller offering a product remains responsible for the product, its description, quality, authenticity, legality, regulatory compliance, and other seller obligations, subject to applicable law and NGOBazaar's marketplace policies.

Nothing in these Terms excludes any responsibility that NGOBazaar itself is required to bear under applicable law.

4. Related Policies

These Terms should be read together with NGOBazaar's applicable policies, including:

• Privacy Policy;
• Shipping & Delivery Policy;
• Cancellation Policy;
• Return, Refund & Replacement Policy;
• Cookie Policy;
• Grievance Redressal Policy; and
• any other policy, notice, or terms specifically applicable to a service, offer, campaign, or feature.

These documents form part of the terms governing your use of NGOBazaar where applicable.

If a specific service or promotional offer contains additional terms, those additional terms will apply to that service or offer.

5. Eligibility to Use NGOBazaar

You may use NGOBazaar only if you are legally capable of entering into a binding contract under applicable Indian law.

If you are not legally competent to enter into a contract, your use of transactional features of NGOBazaar must be undertaken through a parent, lawful guardian, or other legally authorized person as permitted by applicable law.

By creating an account or placing an order, you represent that the information you provide is accurate and that your use of the Marketplace is lawful.

NGOBazaar may restrict or refuse access where required by law, these Terms, security considerations, or marketplace policies.

6. Customer Account

Certain NGOBazaar services may require you to create or use a customer account.

You agree to provide information that is:

• accurate;
• complete;
• current; and
• not misleading.

You are responsible for keeping your account information reasonably up to date.

Your account is intended for your personal or otherwise authorized use.

You must not:

• impersonate another person;
• create an account using false information;
• access another person's account without authorization;
• use an account for unlawful purposes;
• interfere with account-security mechanisms; or
• misuse Marketplace Services.

NGOBazaar may require additional verification where reasonably necessary for security, fraud prevention, account recovery, or compliance.

7. Mobile Number and OTP Authentication

NGOBazaar may use mobile-number-based authentication.

One-Time Passwords ("OTPs") or verification codes may be delivered through supported channels including:

• WhatsApp;
• SMS; or
• other authorized communication channels.

You are responsible for maintaining control over the mobile number associated with your account.

You must not disclose an OTP or security code to any unauthorized person.

NGOBazaar representatives should not require you to disclose an OTP for purposes unrelated to an authentication action initiated by you.

NGOBazaar may limit OTP requests, login attempts, or account access where suspicious or abusive activity is detected.

8. Product Listings

Products displayed on NGOBazaar are listed by NGOBazaar-approved sellers unless otherwise expressly identified.

Product pages may contain information including:

• product name;
• description;
• images;
• specifications;
• price;
• discounts;
• seller information;
• availability;
• dimensions;
• weight;
• material;
• country of origin;
• manufacturer, packer, or importer information where applicable;
• delivery information;
• return eligibility;
• warranties or guarantees where applicable; and
• other information required by applicable law.

Sellers are responsible for providing accurate product information to NGOBazaar.

NGOBazaar may review, moderate, modify the presentation of, suspend, or remove listings in accordance with its policies and applicable law.

9. Product Images and Appearance

Product photographs and other visual representations are intended to help customers understand the product.

Actual product appearance may vary reasonably due to factors such as:

• screen or display settings;
• lighting;
• photography;
• handmade production;
• natural materials;
• manufacturing batches;
• dimensions; or
• minor variations inherent in artisanal or handcrafted goods.

Such variations do not override your statutory rights where a product is defective, materially different from its description, counterfeit, damaged, or otherwise does not comply with applicable law or the applicable sale terms.

10. Product Availability

Product availability displayed on NGOBazaar may change.

Adding a product to your shopping cart does not necessarily reserve that product.

A product may become unavailable before an order is successfully placed or confirmed.

Where a product becomes unavailable after an order has been placed, the order or affected item may be cancelled and any amount collected for that cancelled item will be handled in accordance with the applicable refund process.

11. Pricing

Prices displayed on NGOBazaar are generally provided by or on behalf of the applicable seller.

The total amount payable may include, as applicable:

• product price;
• applicable taxes;
• shipping or delivery charges;
• handling charges, where lawfully applicable and disclosed;
• discounts;
• promotional benefits; and
• other charges disclosed before order confirmation.

NGOBazaar aims to display the amount payable before you complete the purchase.

You should review the final order amount before placing an order.

12. Pricing or Listing Errors

Despite reasonable efforts, a product may occasionally be listed with an incorrect:

• price;
• discount;
• tax calculation;
• description;
• availability;
• shipping charge; or
• other information.

Where a material error is identified, NGOBazaar or the applicable seller may take reasonable corrective action, subject to applicable law.

This may include informing you of the error and, where appropriate, providing the opportunity to proceed on corrected terms or cancelling the affected transaction and refunding amounts collected for it.

Nothing in this section permits misleading pricing practices or otherwise limits rights available to consumers under applicable law.

13. Placing an Order

When you place an order through NGOBazaar, you are requesting to purchase the selected product from the applicable seller.

Before placing the order, you are responsible for reviewing:

• the product;
• quantity;
• seller information where displayed;
• price;
• applicable charges;
• delivery address;
• payment information;
• estimated delivery information; and
• applicable return/cancellation information.

After successful order placement, NGOBazaar may issue an electronic order confirmation.

An order confirmation acknowledges receipt of the order but does not necessarily mean that every item can ultimately be fulfilled.

14. Order Acceptance and Cancellation

Orders may be subject to seller confirmation, inventory availability, payment confirmation, fraud screening, serviceability, and other operational requirements.

An order may be cancelled or declined where reasonably necessary, including because of:

• product unavailability;
• seller inability to fulfill the order;
• payment failure;
• suspected fraudulent activity;
• incorrect pricing or material listing error;
• invalid delivery information;
• delivery location being unserviceable;
• legal or regulatory restrictions;
• violation of these Terms; or
• circumstances beyond reasonable control.

Where NGOBazaar or the seller cancels a prepaid order after payment has been collected, the applicable amount will be processed for refund in accordance with the relevant refund process and applicable law.

15. Payments

NGOBazaar may facilitate payments through authorized payment gateways, payment aggregators, banks, or other payment service providers.

Available payment methods may vary and may include supported methods such as:

• UPI;
• credit cards;
• debit cards;
• net banking;
• wallets;
• other electronic payment methods; and
• cash on delivery, if made available.

Payment services may be subject to the terms and policies of the relevant payment provider.

NGOBazaar does not require customers to provide payment authentication credentials such as UPI PINs, card PINs, banking passwords, or similar confidential credentials directly to NGOBazaar personnel.

16. Failed or Pending Payments

A payment may fail, remain pending, or be delayed because of circumstances involving:

• the customer's bank;
• payment gateway;
• payment network;
• technical systems;
• connectivity;
• transaction authentication; or
• other external factors.

If your account is debited but NGOBazaar does not receive successful payment confirmation, reconciliation may be required.

Any refund or reversal in such circumstances may depend upon the payment provider and banking network in addition to NGOBazaar's own processing.

Customers should not repeatedly make payments for the same order unless the Platform clearly indicates that a new payment attempt is required.

17. Shipping and Delivery

Orders may be delivered through third-party logistics and delivery providers engaged by NGOBazaar, sellers, or marketplace service providers.

Delivery estimates are estimates unless expressly stated otherwise.

Actual delivery time may be affected by factors including:

• seller dispatch time;
• delivery location;
• courier availability;
• weather;
• public holidays;
• operational disruptions;
• regulatory restrictions;
• incorrect or incomplete address information;
• customer availability; and
• events beyond reasonable control.

18. Delivery Information

You are responsible for providing a complete and accurate delivery address and appropriate contact information.

NGOBazaar and its logistics partners may contact you regarding delivery.

Where delivery fails because the address or contact information supplied by you is incorrect, incomplete, or inaccessible, the shipment may be subject to additional delivery attempts, cancellation, return-to-origin, or other treatment under the applicable Shipping & Delivery Policy.

19. Inspection of Delivered Orders

Customers are encouraged to inspect packages and products within a reasonable period after delivery.

If you receive:

• a damaged product;
• a defective product;
• an incorrect product;
• a materially incomplete order;
• a product materially different from its description; or
• another product eligible for return or replacement,

you should report the issue through the applicable NGOBazaar support or return mechanism within the period specified in the relevant policy, subject always to rights available under applicable law.

20. Cancellation

Customer cancellation rights and eligibility may depend upon:

• order status;
• whether the seller has processed the order;
• whether the shipment has been dispatched;
• product category;
• nature of the product; and
• other circumstances specified in the applicable Cancellation Policy.

NGOBazaar's Cancellation Policy forms part of these Terms.

Nothing in that policy limits cancellation rights that cannot lawfully be excluded.

21. Returns, Refunds and Replacements

Return, replacement, and refund eligibility depends upon the product, circumstances of the request, applicable seller terms, NGOBazaar policies, and applicable law.

Customers may be entitled to appropriate remedies where goods are, among other circumstances:

• defective;
• damaged;
• spurious;
• materially different from their advertised characteristics;
• incorrect; or
• otherwise subject to a remedy under applicable consumer law.

Certain products may be non-returnable for legitimate reasons permitted by applicable law, including product characteristics involving hygiene, perishability, customization, or other disclosed category-specific considerations.

Full conditions will be governed by the Return, Refund & Replacement Policy.

Nothing in NGOBazaar's policies is intended to remove statutory consumer rights.

22. Refund Processing

Approved refunds will ordinarily be processed through an appropriate payment method or other method permitted under the applicable refund process.

The time required for a refund to appear in your account may depend on:

• NGOBazaar's processing;
• the payment gateway;
• your bank;
• the card network;
• UPI/payment network; or
• other relevant financial service provider.

NGOBazaar will not intentionally withhold an approved refund contrary to applicable law or the applicable policy.

23. Seller Responsibilities

Sellers offering products through NGOBazaar are required under applicable marketplace arrangements and law to fulfill responsibilities relating to their products and transactions.

These may include responsibilities concerning:

• accurate product information;
• product quality;
• authenticity;
• lawful sale;
• pricing information;
• mandatory product declarations;
• inventory;
• packaging;
• invoicing;
• warranties where applicable;
• fulfillment;
• returns;
• refunds;
• replacements;
• consumer complaints; and
• compliance with applicable laws.

NGOBazaar may take action against sellers that violate marketplace policies or applicable law.

24. Customer Responsibilities

When using NGOBazaar, you agree not to:

• provide false information;
• impersonate another person;
• misuse another person's payment method;
• engage in fraudulent transactions;
• make knowingly false return/refund claims;
• abuse promotional offers;
• manipulate ratings or reviews;
• interfere with Platform security;
• introduce malware or malicious code;
• scrape or extract Platform information through unauthorized automated means;
• attempt unauthorized access to accounts or systems;
• harass sellers, customers, delivery personnel, or NGOBazaar personnel;
• use NGOBazaar for illegal purposes; or
• otherwise violate applicable law.

25. Reviews, Ratings and User Content

Where NGOBazaar allows customers to submit reviews, ratings, photographs, comments, questions, or other content, you are responsible for content you submit.

User content must not:

• be knowingly false or misleading;
• impersonate another person;
• contain unlawful material;
• infringe intellectual-property rights;
• contain malicious code;
• disclose another person's sensitive or private information without authority;
• constitute unlawful harassment, threats, or abuse; or
• manipulate marketplace ratings or reviews.

NGOBazaar may moderate or remove content where reasonably necessary to enforce these Terms, marketplace policies, or applicable law.

Submitting a review does not transfer ownership of your original content to NGOBazaar. However, to the extent necessary to operate and promote the Marketplace, you grant NGOBazaar a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format, distribute, and make technically necessary adaptations to content you voluntarily submit, subject to applicable law and the Privacy Policy.

26. Intellectual Property

The NGOBazaar name, branding, logos, Platform design, software, original graphics, text, database structures, and other proprietary material owned by NGOFeed Digital Solution Private Limited are protected by applicable intellectual-property laws.

Seller trademarks, product images, brand names, product content, and other seller-owned material remain the property of their respective owners or licensors.

You may use NGOBazaar solely for lawful personal or authorized purposes.

Unless expressly permitted, you must not:

• reproduce;
• commercially exploit;
• distribute;
• modify;
• reverse engineer;
• republish; or
• create unauthorized derivative works from NGOBazaar proprietary materials.

27. Intellectual Property Complaints

If you believe that content or a product listing on NGOBazaar infringes your copyright, trademark, or other intellectual-property rights, you may report the matter to NGOBazaar.

We may request information reasonably necessary to verify the complaint, including:

• identification of the protected work or mark;
• identification of the allegedly infringing listing;
• proof of ownership or authorization;
• your contact information; and
• other information reasonably necessary to evaluate the complaint.

NGOBazaar may remove, restrict, investigate, or take other appropriate action regarding allegedly infringing content in accordance with applicable law and marketplace policies.

28. Prohibited or Restricted Products

Sellers are prohibited from listing products that are illegal, prohibited by NGOBazaar policy, or otherwise not permitted for sale through the Marketplace.

Certain products may also be restricted or require licences, certifications, declarations, age restrictions, or other regulatory compliance.

NGOBazaar may remove or restrict listings that violate applicable law or marketplace policies.

29. Promotions, Discounts and Coupons

NGOBazaar or sellers may make available:

• discounts;
• coupons;
• promotional codes;
• campaigns;
• promotional pricing; or
• other benefits.

Such promotions may be subject to additional terms including:

• validity period;
• minimum purchase requirements;
• eligible products;
• eligible sellers;
• customer eligibility;
• usage limits; and
• other disclosed conditions.

Promotions may be withdrawn or modified subject to their terms and applicable law.

Fraudulent or abusive use of promotional benefits may result in cancellation of the benefit or other appropriate action.

30. Communications

By using NGOBazaar, you may receive transactional or service communications necessary to operate your account and fulfill transactions, including:

• OTPs;
• account alerts;
• security alerts;
• order confirmations;
• payment notifications;
• shipping updates;
• delivery notifications;
• cancellation information;
• return/replacement information;
• refund notifications;
• customer-support communications; and
• important Marketplace notices.

Such communications may be sent through supported channels including WhatsApp, SMS, email, telephone, or Platform notifications.

Promotional communications will be handled in accordance with applicable law and NGOBazaar's Privacy Policy.

31. Privacy

Your use of NGOBazaar is subject to the NGOBazaar Privacy Policy.

The Privacy Policy explains, among other things:

• what Personal Data NGOBazaar collects;
• how Personal Data is used;
• when information may be shared;
• security measures;
• retention;
• user privacy rights;
• grievance mechanisms; and
• other data-processing practices.

Please review the Privacy Policy before using NGOBazaar.

32. Third-Party Services

NGOBazaar may integrate with or rely upon third-party services such as:

• payment gateways;
• banks;
• logistics providers;
• communication providers;
• analytics services;
• cloud infrastructure;
• customer-support tools; and
• security providers.

Third-party services may be subject to their own terms and privacy policies.

NGOBazaar is not responsible for independent third-party websites or services outside its ownership or control, except to the extent responsibility is imposed upon NGOBazaar by applicable law.

33. Marketplace Availability

NGOBazaar aims to maintain reliable Marketplace Services but does not guarantee uninterrupted or error-free availability at all times.

Access may occasionally be interrupted because of:

• maintenance;
• upgrades;
• security incidents;
• infrastructure failure;
• telecommunications disruption;
• third-party service failure;
• governmental restrictions;
• force majeure events; or
• other circumstances beyond reasonable control.

Where reasonably possible, NGOBazaar may take steps to restore affected services.

34. Account Suspension or Restriction

NGOBazaar may temporarily restrict, suspend, or terminate access to an account where reasonably necessary because of:

• suspected fraud;
• unauthorized access;
• serious or repeated violation of these Terms;
• abuse of Marketplace Services;
• misuse of returns or refunds;
• payment fraud;
• security threats;
• unlawful conduct;
• governmental or court requirements; or
• other material marketplace-policy violations.

Where appropriate and legally permissible, NGOBazaar may provide notice or an opportunity to contact customer support regarding the action.

Suspension or closure of an account does not remove rights relating to legitimate existing orders, refunds, complaints, or statutory remedies.

35. Fraud Prevention

NGOBazaar may implement reasonable fraud-prevention and marketplace-integrity controls.

Transactions may be reviewed, delayed, restricted, or cancelled where there are reasonable grounds to suspect:

• payment fraud;
• account takeover;
• identity misuse;
• promotional abuse;
• false refund claims;
• unauthorized transactions;
• automated abuse; or
• other fraudulent activity.

Such measures will be undertaken subject to applicable law.

36. Disclaimer Regarding Seller-Provided Information

NGOBazaar may rely upon sellers to provide product and seller information.

NGOBazaar may undertake reasonable marketplace controls, but it cannot independently manufacture, inspect, or verify every characteristic of every third-party product before listing or sale.

Sellers remain responsible for the accuracy and lawfulness of seller-provided information and products.

However, nothing in these Terms excludes or limits any duty or liability that NGOBazaar has under applicable law.

37. Warranties

Products may carry warranties, guarantees, or after-sales support offered by:

• the seller;
• manufacturer;
• brand;
• importer; or
• another authorized provider.

Where applicable, details should be provided with the product or transaction.

NGOBazaar does not independently provide a manufacturer warranty unless expressly stated.

Nothing in this section affects warranties, guarantees, remedies, or rights provided by applicable law.

38. Limitation of Liability

To the maximum extent permitted by applicable law, NGOBazaar will not be liable for indirect, incidental, special, punitive, or consequential losses arising solely from circumstances outside its reasonable control.

NGOBazaar will not be responsible for losses caused solely by:

• unauthorized use of your account resulting from your disclosure of security credentials;
• inaccurate information knowingly provided by you;
• independent third-party systems outside NGOBazaar's reasonable control; or
• events of force majeure,

except where liability cannot lawfully be excluded or limited.

Nothing in these Terms excludes or limits liability for:

• fraud;
• wilful misconduct;
• gross negligence where such limitation is prohibited;
• statutory consumer rights;
• liability that cannot be excluded under applicable law; or
• obligations specifically imposed on NGOBazaar by applicable law.

39. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless NGOFeed Digital Solution Private Limited and its directors, officers, employees, and authorized representatives from third-party claims, liabilities, damages, and reasonable costs arising directly from:

• your unlawful use of NGOBazaar;
• your material breach of these Terms;
• fraud committed by you;
• infringement caused by content you knowingly submit without authorization; or
• violation of another person's rights by you.

This provision does not require a consumer to indemnify NGOBazaar for NGOBazaar's own unlawful conduct, negligence, or breach of statutory obligations.

40. Force Majeure

Neither NGOBazaar nor, where applicable, sellers will be responsible for delay or failure caused by events beyond reasonable control, subject to applicable consumer law.

Such events may include:

• natural disasters;
• floods;
• earthquakes;
• severe weather;
• epidemics or pandemics;
• war;
• civil disturbance;
• governmental restrictions;
• transportation disruption;
• telecommunications outages;
• widespread infrastructure failures; or
• similar events beyond reasonable control.

Where an order cannot reasonably be fulfilled because of such circumstances, NGOBazaar will take appropriate action consistent with applicable law and marketplace policies.

41. Consumer Rights

Nothing in these Terms is intended to waive, restrict, or eliminate rights available to consumers under applicable Indian law.

NGOBazaar and sellers are subject to applicable consumer-protection obligations.

Where these Terms conflict with a mandatory statutory consumer right, the applicable law will prevail to the extent of the conflict.

42. Customer Support and Complaints

If you experience an issue with:

• an account;
• order;
• payment;
• product;
• seller;
• shipment;
• cancellation;
• return;
• replacement;
• refund; or
• Marketplace Service,

you may contact NGOBazaar through the customer-support or grievance mechanisms made available on the Platform.

NGOBazaar may issue or maintain a complaint or ticket reference where supported to facilitate complaint tracking.

43. Grievance Redressal

Customers may raise complaints or grievances regarding NGOBazaar services through the designated grievance mechanism.

• business operations;
• payment systems;
• shipping processes;
• security practices; or
• other legitimate operational requirements.

The latest version will be published on NGOBazaar with an updated effective date or last-updated date.

Where required by law, material changes will be communicated through an appropriate notice or other mechanism.

Changes will not retrospectively deprive customers of rights already accrued under completed transactions or applicable law.

45. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a competent authority, the remaining provisions will continue to apply to the extent permitted by law.

The affected provision will be interpreted or limited to the minimum extent necessary to make it lawful and enforceable where possible.

46. No Waiver

Failure by NGOBazaar to immediately enforce a provision of these Terms does not automatically constitute a waiver of that provision or any other right.

Any waiver must be made in accordance with applicable law.

47. Governing Law

These Terms are governed by the laws of India.

Any dispute concerning NGOBazaar will be dealt with in accordance with applicable Indian law and through courts, tribunals, consumer commissions, regulatory authorities, or other forums having lawful jurisdiction.

Nothing in these Terms restricts a consumer from approaching a forum or authority having jurisdiction under applicable consumer-protection or other laws.

49. Acceptance of Terms

By creating an account, placing an order, or otherwise using transactional features of NGOBazaar, you acknowledge that you have been provided access to these Terms and the policies applicable to your use of the Marketplace.

Where an affirmative acceptance mechanism is presented during registration, checkout, or another transaction, your affirmative action indicates acceptance of the applicable terms presented to you.

Your statutory rights under applicable Indian law remain unaffected.
