1. Introduction

These Marketplace Terms ("Marketplace Terms") govern transactions conducted through NGOBazaar, an online multi-vendor marketplace operated by NGOFeed Digital Solution Private Limited ("NGOBazaar", "Platform", "Marketplace", "Company", "we", "our", or "us").

These Marketplace Terms explain the respective roles and responsibilities of:

  • NGOBazaar;
  • customers purchasing through the Marketplace; and
  • independent sellers offering products through the Marketplace.

These Marketplace Terms supplement the NGOBazaar Terms of Service.

By placing an order or otherwise participating in a marketplace transaction through NGOBazaar, you agree to the applicable Terms of Service, these Marketplace Terms, and other policies applicable to the transaction.

If you do not agree with these terms, you should not place an order through the Marketplace.

2. About NGOBazaar

NGOBazaar is owned, developed, operated, and managed by NGOFeed Digital Solution Private Limited.

NGOBazaar operates a technology-enabled multi-vendor marketplace connecting customers with eligible sellers, which may include:

  • non-governmental organizations (NGOs);
  • social enterprises;
  • self-help groups (SHGs);
  • women-led enterprises;
  • artisans;
  • handicraft producers;
  • rural producers;
  • farmer and producer organizations;
  • cooperatives;
  • MSMEs;
  • businesses; and
  • other approved sellers.

NGOBazaar provides digital infrastructure through which sellers can offer products and customers can discover and purchase those products.

3. Marketplace Model

NGOBazaar operates primarily as a marketplace that facilitates transactions between customers and independent sellers.

Unless expressly identified otherwise for a particular transaction, the seller identified in connection with a product or order is the seller offering that product for sale.

NGOBazaar may provide or facilitate services including:

  • seller onboarding;
  • product listing infrastructure;
  • product discovery;
  • search and browsing;
  • customer accounts;
  • shopping cart functionality;
  • order placement;
  • payment facilitation;
  • order management;
  • seller notifications;
  • logistics coordination;
  • shipping-label and shipment processing;
  • shipment tracking;
  • customer communications;
  • cancellations;
  • returns;
  • replacements;
  • refunds;
  • customer support;
  • grievance handling; and
  • marketplace security.

Providing these services does not, by itself, mean that NGOBazaar manufactures or owns every product offered through the Marketplace.

4. Relationship Between Customer, Seller and NGOBazaar

A marketplace transaction generally involves three participants:

Customer: The person purchasing or seeking to purchase a product.

Seller: The independent seller offering the product through NGOBazaar.

NGOBazaar: The marketplace platform facilitating the transaction and providing applicable Marketplace Services.

The applicable seller is responsible for the products offered by that seller, including responsibilities relating to product accuracy, quality, authenticity, legality, fulfillment, and applicable regulatory requirements.

NGOBazaar remains responsible for its own obligations as a marketplace e-commerce entity under applicable law.

Nothing in these Marketplace Terms excludes any statutory responsibility imposed upon NGOBazaar or a seller.

5. Independent Sellers

Sellers operating through NGOBazaar are independent organizations, enterprises, producers, artisans, businesses, or other eligible persons/entities approved to participate in the Marketplace.

A seller is not an employee, agent, representative, partner, or franchisee of NGOFeed Digital Solution Private Limited merely because that seller uses NGOBazaar.

Each seller is responsible for complying with the agreements, policies, and legal requirements applicable to its participation in the Marketplace.

6. Seller Verification

NGOBazaar may conduct verification and onboarding procedures before permitting a seller to participate in the Marketplace.

Depending upon seller type and applicable requirements, verification may involve information relating to:

  • legal identity;
  • organizational registration;
  • authorized representatives;
  • PAN;
  • GST registration, where applicable;
  • bank account details;
  • business or organization address;
  • statutory registrations;
  • marketplace eligibility; and
  • other documentation reasonably necessary for verification or compliance.

Approval to participate in NGOBazaar does not constitute an endorsement or guarantee of every product subsequently offered by a seller.

NGOBazaar may conduct additional verification or compliance reviews where reasonably necessary.

7. Seller Information

NGOBazaar may display information about the seller associated with a product or transaction where required or appropriate.

Depending upon applicable requirements and the transaction, this may include:

  • seller or organization name;
  • business or organization information;
  • seller location;
  • contact or customer-care information;
  • statutory information where required;
  • seller rating or performance information where supported;
  • applicable grievance information; and
  • other information required under applicable law.

Seller information is intended to help customers make informed purchasing decisions.

8. Product Listings

Products offered through NGOBazaar are generally submitted or supplied for listing by approved sellers.

Product information may include:

  • product name;
  • product description;
  • product photographs;
  • specifications;
  • category;
  • brand information;
  • SKU;
  • price;
  • discounts;
  • inventory;
  • dimensions;
  • weight;
  • material;
  • country of origin;
  • manufacturing information;
  • manufacturer, packer, or importer information where applicable;
  • expiry or shelf-life information where applicable;
  • certifications where applicable;
  • usage or safety instructions where applicable;
  • shipping information;
  • return eligibility; and
  • other legally required information.

The seller supplying the information is responsible for ensuring that its product information is accurate, complete, lawful, and not misleading.

9. Marketplace Review of Listings

NGOBazaar may review product listings for marketplace quality, policy compliance, legal compliance, prohibited products, suspected fraud, intellectual-property concerns, or other legitimate marketplace purposes.

NGOBazaar may:

  • approve listings;
  • request corrections;
  • request additional information;
  • restrict listings;
  • temporarily suspend listings;
  • remove listings; or
  • prevent the sale of products

where reasonably necessary under Marketplace policies or applicable law.

Marketplace review does not transfer the seller's responsibility for the product to NGOBazaar.

10. Product Information and Customer Decisions

Customers should review available product information before purchasing.

Relevant information may include:

  • description;
  • specifications;
  • dimensions;
  • material;
  • price;
  • seller information;
  • delivery estimate;
  • return eligibility;
  • country of origin;
  • manufacturer information;
  • warranty information; and
  • other information relevant to the purchase.

NGOBazaar may facilitate presentation of this information but may rely on sellers to provide product-specific information.

11. Handmade and Artisan Products

Some products available on NGOBazaar may be handmade, handcrafted, naturally produced, or produced in small batches.

Such products may contain reasonable variations in:

  • colour;
  • texture;
  • pattern;
  • finish;
  • dimensions;
  • weight;
  • stitching;
  • carving;
  • printing;
  • material characteristics; or
  • other handmade characteristics.

Reasonable variations inherent in handmade production do not by themselves make a product defective.

This does not affect customer rights where a product is defective, damaged, materially different from its description, counterfeit, or otherwise subject to a remedy under applicable law.

12. Product Availability and Inventory

Inventory information is generally provided or maintained by sellers.

A product displayed as available may occasionally become unavailable because of:

  • simultaneous purchases;
  • delayed inventory updates;
  • seller inventory errors;
  • damaged inventory;
  • product withdrawal;
  • compliance restrictions; or
  • other operational circumstances.

Adding a product to a shopping cart does not guarantee its availability.

If an ordered product becomes unavailable, the affected order or item may be cancelled and any payment collected for the cancelled item will be handled according to the applicable refund process.

13. Pricing

Sellers are generally responsible for establishing prices for products they offer through NGOBazaar, subject to Marketplace policies and applicable law.

Product pages and checkout may display, as applicable:

  • selling price;
  • maximum retail price (MRP), where applicable;
  • discount;
  • applicable taxes;
  • shipping charges;
  • other disclosed charges; and
  • final amount payable.

Charges applicable to an order should be disclosed before the customer confirms the purchase.

14. Pricing Accuracy

Sellers must not intentionally provide false or misleading pricing information.

NGOBazaar may monitor or review pricing where reasonably necessary to identify:

  • obvious errors;
  • misleading discounts;
  • unlawful pricing practices;
  • incorrect tax calculations;
  • technical errors; or
  • other marketplace-policy violations.

Where a material pricing error occurs, NGOBazaar or the seller may take appropriate corrective action subject to applicable law.

NGOBazaar may organize, rank, recommend, or display products and sellers using various parameters.

Depending upon the feature, parameters may include factors such as:

  • relevance to a search query;
  • product category;
  • product information;
  • availability;
  • customer preferences;
  • seller performance;
  • fulfillment performance;
  • popularity;
  • customer engagement;
  • price;
  • ratings and reviews;
  • Marketplace campaigns; or
  • other relevant marketplace signals.

Where required by applicable law, NGOBazaar will make available appropriate information regarding the principal parameters used to determine ranking and their relative importance.

Sponsored, promoted, or advertising placements, if introduced, may be identified appropriately.

16. Placing an Order

When a customer places an order through NGOBazaar, the customer submits a request to purchase the selected product from the applicable seller.

Customers should verify before placing an order:

  • selected product;
  • seller information where displayed;
  • quantity;
  • price;
  • discounts;
  • taxes and charges;
  • delivery address;
  • payment method;
  • delivery estimate; and
  • applicable cancellation/return information.

NGOBazaar may generate an order confirmation after successful order placement.

17. Seller Confirmation

Orders may require processing or confirmation by the applicable seller.

After receiving an order, a seller may be required to:

  • review the order;
  • confirm availability;
  • confirm the order;
  • prepare the product;
  • generate or use shipping documentation;
  • package the product;
  • mark the shipment ready for pickup; and
  • hand the shipment to the applicable logistics provider.

An order may be cancelled where the seller cannot fulfill it, subject to applicable Marketplace policies and consumer rights.

18. Order Fulfillment

The seller is responsible for preparing and fulfilling orders assigned to it in accordance with applicable Marketplace requirements.

Seller responsibilities may include:

  • maintaining inventory;
  • accepting valid orders;
  • packaging products appropriately;
  • ensuring the correct product and quantity are packed;
  • complying with packaging requirements;
  • attaching required shipping documentation;
  • preparing orders within required timelines;
  • providing legally required invoices or transaction documents where applicable; and
  • handing shipments to the designated logistics provider.

NGOBazaar may monitor seller fulfillment performance to maintain Marketplace quality.

19. Packaging

Sellers are responsible for packaging products appropriately for transportation and delivery.

Packaging should be reasonably suitable for:

  • the product type;
  • product dimensions;
  • fragility;
  • transportation conditions;
  • applicable safety requirements; and
  • applicable regulatory requirements.

Where a product reaches a customer damaged because of packaging, handling, transportation, or another cause, the matter will be handled in accordance with applicable policies and law.

20. Shipping and Logistics

NGOBazaar may facilitate shipping through third-party logistics providers.

Depending upon the transaction, NGOBazaar may facilitate:

  • shipping-service selection;
  • shipment creation;
  • airway bill or tracking-number generation;
  • shipping labels;
  • pickup requests;
  • shipment tracking;
  • delivery updates;
  • return shipments; and
  • other logistics operations.

The seller may be responsible for handing the properly packed order to the designated logistics provider.

After handover, transportation and delivery may be performed by independent logistics providers.

21. Delivery Estimates

Delivery dates displayed through NGOBazaar are generally estimates unless expressly stated otherwise.

Delivery time may depend upon:

  • seller processing time;
  • seller location;
  • customer location;
  • logistics-provider serviceability;
  • shipment route;
  • weather;
  • public holidays;
  • regulatory restrictions;
  • operational disruptions; and
  • other circumstances.

Customers should refer to the Shipping & Delivery Policy for additional information.

22. Payment Facilitation

NGOBazaar may facilitate payments between customers and sellers using authorized payment service providers.

Payment processing may involve:

  • payment gateways;
  • payment aggregators;
  • banks;
  • UPI networks;
  • card networks; and
  • other supported payment systems.

NGOBazaar may receive payment confirmation and transaction information required to process and reconcile marketplace orders.

23. Seller Settlements

Payments collected in connection with marketplace transactions may be settled with sellers according to NGOBazaar's seller settlement arrangements.

Seller settlements may take into account matters such as:

  • order value;
  • applicable marketplace fees;
  • commissions;
  • shipping charges;
  • taxes;
  • returns;
  • refunds;
  • cancellations;
  • adjustments;
  • applicable deductions; and
  • other amounts governed by the seller agreement.

Seller settlement arrangements do not alter the amount already disclosed and payable by the customer for an order.

24. Cancellation by Customers

Customers may request cancellation of eligible orders in accordance with NGOBazaar's Cancellation Policy.

Cancellation availability may depend upon factors such as:

  • order status;
  • seller processing status;
  • shipment status;
  • product category; and
  • applicable legal requirements.

The Platform may disable self-service cancellation after certain fulfillment stages, without limiting cancellation rights that must be provided under applicable law.

25. Cancellation by Sellers

A seller may cancel an order only for legitimate reasons permitted under Marketplace policies.

These may include circumstances such as:

  • genuine inventory unavailability;
  • damaged inventory;
  • inability to fulfill;
  • regulatory restrictions; or
  • other legitimate operational reasons.

Repeated or avoidable seller cancellations may affect seller performance and may result in Marketplace action.

If a seller cancels a prepaid order, the amount collected for the cancelled item or order will be handled through the applicable refund process.

26. Cancellation by NGOBazaar

NGOBazaar may cancel or restrict an order where reasonably necessary because of:

  • suspected fraud;
  • payment failure;
  • security concerns;
  • legal restrictions;
  • prohibited products;
  • material listing errors;
  • seller suspension;
  • unserviceable delivery locations;
  • Marketplace-policy violations; or
  • other circumstances making fulfillment unlawful or impracticable.

Where a prepaid order is cancelled, applicable refunds will be processed in accordance with the relevant policy and law.

27. Returns

Eligible products may be returned in accordance with the Return, Refund & Replacement Policy.

Eligibility may depend upon:

  • product category;
  • condition of the product;
  • reason for return;
  • return window;
  • product-specific restrictions; and
  • applicable consumer rights.

Customers may be asked to provide reasonable information necessary to evaluate a return request.

28. Defective, Damaged, Incorrect or Spurious Products

Where a customer receives a product that is:

  • defective;
  • damaged;
  • spurious;
  • incorrect;
  • materially different from its advertised characteristics;
  • missing material components; or
  • otherwise eligible for a remedy under applicable law,

the customer should report the issue through NGOBazaar's applicable support or return process.

NGOBazaar and/or the seller will handle the request in accordance with applicable policies and legal requirements.

29. Replacements

Where replacement is available, eligibility may depend upon:

  • product category;
  • seller inventory;
  • nature of the issue;
  • condition of the returned product; and
  • applicable Marketplace policy.

If replacement inventory is unavailable, an appropriate refund or other remedy may be provided where applicable.

A shipment may be returned to the seller without successful delivery in circumstances including:

  • customer unavailable;
  • incorrect address;
  • incomplete address;
  • repeated failed delivery attempts;
  • refusal to accept delivery;
  • inaccessible delivery location; or
  • other delivery failures.

Such shipments may be classified as Return-to-Origin ("RTO").

The treatment of the customer order and any applicable refund will depend upon the circumstances, payment method, Marketplace policies, and applicable law.

Sellers participating in NGOBazaar are expected to:

  • provide accurate information;
  • offer only lawful products;

  • engage in unfair trade practices.

Violations may result in listing removal, account restriction, seller suspension, termination, or other appropriate action.

34. Customer Information Provided to Sellers

To fulfill an order, NGOBazaar may provide the relevant seller with information reasonably necessary for the transaction.

Depending upon the transaction, this may include:

  • customer or recipient name;
  • order information;
  • delivery information;
  • contact information where required;
  • product and quantity;
  • shipment information;
  • return/replacement information; and
  • information required for invoicing or compliance.

Sellers must use customer information only for authorized marketplace, transaction, fulfillment, compliance, and customer-service purposes.

Seller access to customer information does not authorize sellers to independently market to customers unless appropriate permission or another lawful basis exists.

These measures do not constitute a guarantee that every Marketplace transaction will be free from error or dispute.

39. Product Authenticity

Sellers are responsible for ensuring that products offered through NGOBazaar are authentic and lawfully offered.

Sellers must not knowingly offer counterfeit or spurious products.

Where NGOBazaar receives a credible authenticity complaint, it may:

  • request seller documentation;
  • temporarily restrict a listing;
  • investigate the matter;
  • remove the listing;
  • restrict the seller; or
  • take other appropriate action.

  • product safety;
  • Marketplace policy; or
  • other legitimate reasons.

Sellers are responsible for determining whether they are legally authorized to offer a product.

NGOBazaar may remove or restrict products where necessary.
